Terms of Service

These Terms of Service ("Terms") govern your use of Faturado ("Service"), operated by Portal, Lda ("Company", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.
Important for Hosted MCP pilots
- Hosted MCP lets authorized AI clients read selected TOConline and InvoiceXpress data through grants you control.
- Provider credentials are stored encrypted and are not shared with AI clients.
- OAuth access can be revoked by you or by us if we detect abuse, risk, or a Terms violation.
- Pilot access may be limited, changed, or withdrawn while the product is in beta.
1. Definitions
- Account means a unique account created for you to access our Service.
- Organization means the business entity that you represent when using the Service.
- Service means the Faturado web application and all related services, including Stripe invoice automation, dashboard functionality, and Hosted MCP access.
- Billing Arrangement means the usage-based billing relationship that allows your Organization to access the Service.
- Hosted MCP means the hosted Model Context Protocol service that lets approved AI clients access provider data according to grants configured by your Organization.
- Connected AI Client means an AI application or tool, such as Claude, ChatGPT, Cursor, or another MCP-compatible client, that you authorize to use Hosted MCP.
- Provider Credentials means API keys, OAuth tokens, account identifiers, and related secrets used to connect TOConline, InvoiceXpress, or other supported providers.
2. Account Terms
You must be 18 years or older to use this Service. You must provide accurate, complete, and current information when creating an account. You are responsible for safeguarding your account credentials and for any activities under your account.
You must not share your account credentials with third parties. You must notify us immediately of any unauthorized use of your account.
3. Service Description
Faturado provides services for connecting business systems to Portuguese certified billing providers. Depending on the product you use, the Service may:
- Receive webhook notifications of successful Stripe payments
- Create corresponding invoices in your configured billing provider
- Deliver invoices to customers via email
- Provide a dashboard for monitoring and managing transactions
- Store encrypted Provider Credentials for client companies you manage
- Let Connected AI Clients read selected provider data through Hosted MCP grants you configure
Hosted MCP is designed as a read-only access layer for authorized AI clients. It does not give AI clients your Provider Credentials and does not allow those clients to perform write actions unless we expressly add and document such functionality.
4. Third-Party Services
The Service integrates with third-party services (Stripe, TOConline, InvoiceXpress, and Connected AI Clients that you authorize). Your use of these services is governed by their respective terms of service. We are not responsible for the availability, accuracy, output, or policies of third-party services.
You are responsible for deciding which Connected AI Clients to use and for confirming that your use of those clients complies with your own legal, confidentiality, and professional obligations.
5. Payments and Billing
Faturado fees are based on generated invoices and billed through Stripe according to the pricing shown in the Service or on our website. All fees are exclusive of applicable taxes unless stated otherwise. You authorize us to charge your payment method for usage fees.
Some beta or pilot features, including Hosted MCP, may be offered without Stripe billing or under a separate written arrangement. If no paid plan applies, we may impose reasonable limits or withdraw pilot access with notice.
We may change usage fees upon 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.
6. Refunds
Usage fees are generally non-refundable. We may, at our sole discretion, provide refunds or credits in cases of service disruption or billing errors.
7. Usage Limits
Faturado does not apply a fixed monthly invoice cap under the standard usage-based pricing model. We may still enforce reasonable operational, payment-risk, or abuse-prevention limits to protect the Service.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Violate any applicable laws or regulations
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service
- Transmit any malicious code or harmful content
- Use the Service to process fraudulent transactions
- Attempt to extract, reveal, or bypass controls protecting Provider Credentials
- Attempt to bypass Hosted MCP grant scopes, rate limits, OAuth controls, or read-only restrictions
- Use Connected AI Clients to bulk export data in a way that exceeds your authorization or professional obligations
9. Data and Privacy
Our collection and use of personal information is governed by our Privacy Policy. You are responsible for ensuring that the data you process through our Service complies with applicable data protection laws.
For Hosted MCP, you are responsible for configuring grants only for client companies and provider accounts you are authorized to access. You may revoke provider connections, grants, or Connected AI Client access through the Service where supported.
10. Intellectual Property
The Service and its original content, features, and functionality are owned by the Company and are protected by international copyright, trademark, and other intellectual property laws.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be uninterrupted, secure, or error-free. We do not warrant the accuracy of invoices generated through third-party billing providers, provider data returned through Hosted MCP, or outputs produced by Connected AI Clients.
The Service and any Connected AI Client output are not legal, tax, accounting, or professional advice. You remain responsible for reviewing provider records and professional conclusions before relying on them.
12. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Our total liability for any claim arising from these Terms shall not exceed the amounts paid by you in the twelve months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
14. Termination
We may terminate or suspend your account immediately for any breach of these Terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service will cease immediately.
We will delete or disable Provider Credentials and active grants after termination or revocation where supported. Some records may be retained for longer where required by law, including accounting and tax records that must be preserved, anonymized, or restricted instead of deleted. You may request data export before termination.
15. Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
16. Governing Law
These Terms shall be governed by the laws of Portugal, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Lisbon, Portugal.
